By signing up for an account or using and accessing any of QorePay’s Services, you agree to these Terms of Use and any policies referenced herein (“Policies”), including our Privacy Policy.

If you are using the services on behalf of a business or any other corporate entity, you represent to us that you have authority to bind that business or entity to these Terms, and that business accepts these Terms.

QorePay provides a comprehensive payment gateway solution designed to facilitate secure and efficient online transactions for merchants. Our services include but are not limited to payment processing, fraud prevention, payment security features, reporting tools, and customer support.

2. Account Registration

To use QorePay's services, you must register for an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to promptly update your account information to ensure its accuracy.

3. Merchant Responsibilities

As a merchant using QorePay's services, you agree to:

• Comply with all applicable laws, regulations, and industry standards governing your business activities.
• Ensure the accuracy and legality of the products or services you offer through QorePay.
• Maintain the security of customer payment information and adhere to PCI DSS (Payment Card Industry Data Security Standard) requirements.
• Refrain from engaging in fraudulent or deceptive practices, including but not limited to chargebacks, unauthorized transactions, and money laundering.
• Cooperate with QorePay in the event of any investigations or disputes related to your use of our services.

4. Fees and Payments

QorePay may charge fees for the use of its services, which are outlined in our pricing schedule. By using QorePay's services, you agree to pay any applicable fees and charges. Fees may vary based on factors such as transaction volume, payment methods, and additional services requested. QorePay reserves the right to update its fees and pricing schedule at any time, with notice provided to merchants.

5. Privacy

QorePay is committed to protecting your privacy and the confidentiality of your information. Our Privacy Policy outlines how we collect, use, and disclose your information in connection with our services. By using QorePay's services, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

6. Data Security

QorePay employs industry-standard security measures to protect the integrity and confidentiality of customer data and payment information. However, you acknowledge that no method of transmission over the Internet or electronic storage is completely secure. QorePay cannot guarantee the absolute security of your data but takes reasonable steps to safeguard it.

7. Limitation of Liability

QorePay acknowledges the importance of maintaining the integrity and security of its services. In no event shall QorePay be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our services.

8. Liability Clause - Fraudulent Activities

While every effort is made to prevent fraudulent activities, it is understood that instances of fraud may occur, particularly involving customers of our merchants.

8.1. Merchant Responsibility:

QorePay holds merchants using our payment gateway services responsible for the legitimacy of their business operations and the products or services they offer.

Merchants are required to implement robust security measures to prevent unauthorized access to their systems and protect sensitive customer information.

Merchants are obligated to promptly report any suspected fraudulent activities to QorePay for investigation and resolution.

8.2. QorePay's Role:

QorePay will diligently monitor transactions processed through its payment gateway for signs of suspicious or fraudulent activity.

QorePay will take reasonable measures to prevent fraudulent transactions, including the implementation of fraud detection mechanisms and collaboration with relevant authorities.

8.3. Liability Limitation:

QorePay shall not be held liable for any losses incurred by merchants or their customers as a result of fraudulent activities, except in cases of proven negligence or misconduct on our part.

QorePay shall not be responsible for compensating merchants or their customers for losses arising from chargebacks or disputes initiated by customers, unless such disputes are demonstrably attributable to QorePay's error or negligence.

8.4. Customer Cooperation:

Merchants agree to fully cooperate with QorePay in investigating suspected fraudulent activities and providing necessary information or evidence to facilitate resolution.

8.5. Reporting Fraud:

Merchants are encouraged to promptly report any instances of suspected fraudulent activities to QorePay's dedicated fraud reporting channels.

9. Indemnification:

Merchants agree to indemnify and hold harmless QorePay, its affiliates, officers, directors, employees, and agents from any claims, losses, costs, liabilities, damages, or expenses (including without limitation reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms, or arising out of any claim that you have breached any provision of these Terms and/or related to fraudulent activities by (but not limited to)  you, your employees or customers. You will indemnify and hold QorePay harmless from and against any claim, suit or proceedings brought against QorePay arising from or in connection with violations of intellectual property or other rights of third parties in relation to your use of the Services.

10. Termination

QorePay reserves the right to suspend or terminate your account and access to our services at any time for any reason, including but not limited to violation of these Terms, fraudulent activity, or failure to pay applicable fees. Upon termination, you agree to cease all use of QorePay's services and promptly settle any outstanding fees or obligations.

11. Changes to Terms

QorePay reserves the right to update or modify these Terms at any time without prior notice. Any changes to these Terms will be effective immediately upon posting on our website. It is your responsibility to review these Terms periodically for any changes. Your continued use of QorePay's services constitutes acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or QorePay's services shall be resolved exclusively through arbitration administered by Courts located in Nigeria, in accordance with its rules and procedures.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
