QorePay Terms of Use

1. Introduction
These Terms of Use ("Terms") govern access to and use of the QorePay platform, website, dashboard, APIs, developer tools, and any related services operated by QorePay Technology Solutions Limited ("QorePay", "we", "our", or "us").
By accessing or using any part of QorePay's systems, you agree to be bound by these Terms, the Merchant Services Agreement (where applicable), the Acceptable Use Policy, Privacy Policy, Risk & Compliance requirements, and any additional product or regulatory terms communicated by QorePay.
If you do not agree, you must not use the platform or Services.
2. Relationship Between Documents
These Terms govern general platform access and usage.
Where you are onboarded as a Merchant, the Merchant Services Agreement ("MSA") governs your financial, settlement, and payment processing relationship with QorePay.
In the event of conflict:
- The MSA prevails for all payment, settlement, risk, reserve, and financial matters
- These Terms govern platform access, APIs, and general usage rules
3. Eligibility
You may only use QorePay if:
- You are legally capable of forming a binding contract
- You are a registered business entity (where applicable)
- You comply with all Applicable Laws in your jurisdiction
- You are not restricted or sanctioned under any regulatory or financial crime list
QorePay reserves the right to refuse access at its sole discretion.
4. Account Registration and Security
You are responsible for:
- Maintaining confidentiality of login credentials and API keys
- All activity conducted under your account
- Ensuring account information remains accurate and up to date
You must immediately notify QorePay of:
- Unauthorized access
- Suspected fraud
- Credential compromise
QorePay may suspend access immediately where security risk is suspected.
5. Permitted Use
You may only use QorePay services for lawful business purposes that have been disclosed and approved during onboarding or subsequent compliance review.
You must not use QorePay for:
- Illegal or fraudulent activity
- Misleading or deceptive transactions
- Undisclosed business models or payment flows
- Processing payments on behalf of third parties without approval
- Any activity prohibited under Applicable Law or card scheme rules
6. Merchant and Platform Disclosure Obligations
You must fully disclose and continuously update QorePay on:
- Websites and domains
- Mobile applications
- APIs and integrations
- Social media storefronts
- Payment funnels or third-party platforms
- Product/service offerings
- Business model changes
Use of QorePay on any undisclosed platform, website, application, or funnel constitutes a material breach.
7. Monitoring and Risk Controls
QorePay continuously monitors platform usage and transaction behaviour, including:
- API usage patterns
- Transaction velocity and volume
- Fraud indicators
- Chargeback ratios
- Customer complaints
- External intelligence and regulatory signals
QorePay may conduct reviews at any time, with or without notice.
8. High-Risk Classification
QorePay may classify any user or merchant as High Risk at its sole discretion. Classification may be based on:
- Industry type
- Transaction behaviour
- Fraud or chargeback history
- Regulatory exposure
- Adverse media or intelligence
- Internal risk models (proprietary and confidential)
QorePay is not obligated to disclose the basis of classification.
9. Enforcement Actions and Controls
Where risk or breach is identified, QorePay may immediately:
- Suspend access to platform or APIs
- Restrict transactions or features
- Disable accounts
- Delay or withhold settlements (where applicable under MSA)
- Request additional documentation
- Conduct investigations
- Report to regulators, financial institutions, or law enforcement
These actions may be taken without prior notice where necessary to protect QorePay, financial partners, or the financial ecosystem.
10. API Usage and Restrictions
All APIs, keys, and developer tools remain the property of QorePay.
You must not:
- Share API credentials
- Use APIs on unapproved platforms
- Expose credentials publicly
- Reverse engineer or misuse API functionality
- Allow third parties to access your integration without approval
QorePay may revoke API access at any time for security or compliance reasons.
11. Data Accuracy and Integrity
You are responsible for ensuring all information submitted to QorePay is:
- Accurate
- Complete
- Not misleading
- Continuously updated
Misrepresentation includes omission of relevant business models, platforms, or transaction channels.
12. Third-Party Platforms
QorePay is not responsible for:
- External websites or platforms integrated by users
- Third-party services or processors
- Losses arising from external systems
You assume full responsibility for your integrations and external dependencies.
13. Suspension and Termination
QorePay may suspend or terminate access immediately if:
- Fraud, abuse, or suspicious activity is detected
- Regulatory or scheme requirements demand it
- You breach these Terms or related policies
- Your usage presents financial, legal, or reputational risk
- You fail to provide required compliance documentation
Termination may be immediate and without notice.
14. Effects of Suspension or Termination
Upon suspension or termination:
- Access to platform and APIs will be revoked
- Data access may be restricted
- Investigations may continue post-termination
- Financial obligations under the MSA (if applicable) remain enforceable
- QorePay may retain data where required by law
15. Intellectual Property
All QorePay systems, APIs, software, branding, and documentation remain the exclusive property of QorePay.
You are granted a limited, revocable, non-transferable license to use the platform in accordance with these Terms.
16. Security Obligations
You must implement appropriate security measures to protect:
- Customer data
- Authentication credentials
- API integrations
- Transaction flows
You are fully responsible for breaches originating from your systems.
17. Compliance with Laws
You agree to comply with all Applicable Laws, including but not limited to:
- Anti-money laundering regulations
- Counter-terrorism financing laws
- Data protection laws
- Payment scheme rules
- Central Bank of Nigeria (CBN) regulations
18. Limitation of Use
QorePay may impose restrictions on:
- Transaction volumes
- API usage rates
- Access to features
- Geographic usage
- Supported business models
Such restrictions may change at any time.
19. Updates to Terms
QorePay may modify these Terms at any time.
Continued use of the platform after updates constitutes acceptance of the revised Terms.
20. Disclaimer of Warranties
The platform is provided on an "as is" and "as available" basis.
QorePay does not guarantee:
- Uninterrupted service
- Error-free operation
- Approval of transactions
- Compatibility with third-party systems
21. Limitation of Liability
To the maximum extent permitted by law:
QorePay shall not be liable for:
- Indirect or consequential losses
- Loss of revenue or profits
- Business interruption
- Data loss
- Reputational damage
- Third-party actions or chargebacks
Where liability is established, it shall be limited to fees earned in the preceding 30 days (where applicable).
22. Indemnity
You agree to indemnify QorePay against all claims, losses, liabilities, damages, fines, or expenses arising from:
- Your use of the platform
- Your breach of these Terms
- Fraudulent or illegal activity
- Customer disputes or chargebacks
- Misrepresentation of your business
23. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
24. Entire Agreement
These Terms, together with the MSA, Acceptable Use Policy, Privacy Policy, and any product-specific terms, constitute the full agreement between you and QorePay.
