QorePay Acceptable Use Policy (AUP)

1. Introduction
This Acceptable Use Policy ("AUP") governs the use of QorePay Technology Solutions Limited ("QorePay", "we", "our", or "us") services, platform, APIs, dashboards, and related infrastructure.
This AUP forms part of the QorePay Terms of Use and, where applicable, the Merchant Services Agreement ("MSA"). By using QorePay services, you agree to comply with this AUP in full.
Violations of this AUP may result in immediate suspension, termination, fund withholding, rolling reserves, or regulatory reporting.
2. Relationship With Other Agreements
This AUP works alongside:
- QorePay Terms of Use (platform usage rules)
- Merchant Services Agreement (financial and settlement obligations)
- Risk & Compliance requirements
- Privacy Policy
- Applicable Laws and payment scheme rules
In case of conflict, the MSA governs financial matters, while this AUP governs prohibited use and conduct.
3. General Principle of Acceptable Use
You may only use QorePay services for lawful, legitimate, and fully disclosed business activities approved by QorePay during onboarding or subsequent compliance review.
Any activity not explicitly approved or disclosed may be treated as prohibited.
4. Strictly Prohibited Activities
You must not use QorePay services for or in connection with:
4.1 Illegal or Fraudulent Activity
- Fraud of any kind
- Money laundering or terrorist financing
- Identity theft or impersonation
- Unauthorized or stolen payment instruments
- Sanctions evasion or regulatory breaches
4.2 Deceptive or Misleading Practices
- Misrepresentation of business model, ownership, or operations
- False advertising or misleading product claims
- Hidden fees or deceptive pricing
- Fake websites, funnels, or landing pages
- Impersonation of legitimate businesses or entities
4.3 Investment, Financial, and Ponzi Schemes
- Ponzi schemes
- Pyramid schemes
- HYIP (high yield investment programs)
- Unlicensed investment platforms
- "Get rich quick" schemes or deceptive fundraising models
4.4 Undisclosed Platforms and Payment Channels (CRITICAL)
You must not:
- Process payments through any undisclosed website, application, domain, funnel, marketplace, or platform
- Route transactions through third-party systems not declared to QorePay
- Use QorePay APIs on unapproved environments
- Redirect users from approved platforms to hidden or unverified payment pages
- Operate multiple merchant-facing interfaces without disclosure
Any undisclosed usage constitutes material breach and may trigger immediate enforcement action.
4.5 Third-Party Abuse and Hidden Facilitation
You must not:
- Process payments on behalf of third parties without approval
- Act as an unapproved payment aggregator or sub-merchant system
- Facilitate payments for other businesses under your account
- Allow external entities to use your integration or credentials
4.6 High-Risk or Regulated Activity Without Approval
You must not use QorePay for:
- Gambling or betting (unless explicitly approved)
- Adult content services
- Cryptocurrency exchange or trading services (unless approved)
- Unlicensed financial services
- Remittance or money transfer services without approval
4.7 Security Abuse
- Attempting to bypass security controls
- Tampering with APIs or system integrity
- Reverse engineering QorePay systems
- Unauthorized access to accounts or data
- Credential sharing or leakage
5. Misrepresentation and Disclosure Obligations
You must fully disclose and continuously update QorePay on:
- All websites, domains, and applications
- All payment flows and funnels
- All business models and monetization methods
- All third-party platforms or integrations
- All beneficial ownership structures
- Any change in business activity or use case
Any omission, concealment, or misrepresentation shall be treated as material breach, regardless of intent.
6. Monitoring and Enforcement
QorePay continuously monitors platform usage, including:
- Transaction patterns and velocity
- Chargeback and refund activity
- Fraud indicators and anomalies
- API usage behaviour
- External intelligence and regulatory signals
- Customer complaints and disputes
Monitoring may be automated or manual and may occur at any time.
7. High-Risk Classification
QorePay may classify any user or merchant as High Risk at its sole discretion. Classification may be based on:
- Transaction behaviour
- Industry type
- Fraud exposure
- Chargeback history
- Adverse media or intelligence
- Regulatory guidance
- Internal risk models (proprietary and confidential)
QorePay is not obligated to disclose the basis of classification.
8. Enforcement Actions
Where QorePay identifies risk or breach, it may immediately:
- Suspend access to services or APIs
- Restrict functionality or transaction types
- Disable accounts or integrations
- Delay or withhold settlements (per MSA)
- Impose rolling reserves or security controls (per MSA)
- Request additional documentation (EDD/KYC/KYB)
- Conduct investigations
- Report to regulators, financial institutions, or law enforcement
These actions may be taken without prior notice where necessary.
9. API and Platform Restrictions
You must not:
- Share API keys or credentials
- Expose credentials in public repositories or client-side code
- Use APIs on unapproved platforms or domains
- Allow unauthorized third-party access
- Modify or misuse API functionality outside approved scope
QorePay may revoke API access immediately upon suspicion of misuse.
10. Third-Party Systems Disclaimer
QorePay is not responsible for:
- External websites, platforms, or applications
- Third-party integrations or service providers
- Losses caused by external systems
- Misuse of your credentials outside QorePay's infrastructure
You assume full responsibility for your external integrations.
11. Suspension and Termination
QorePay may suspend or terminate access immediately where:
- Fraud or abuse is suspected
- Regulatory or scheme instructions require it
- This AUP or related agreements are breached
- Misrepresentation is detected
- Risk exposure is deemed unacceptable
- Undisclosed channels or platforms are discovered
Termination may be immediate and without notice.
12. Effects of Enforcement Action
Upon suspension or termination:
- Access to APIs and services is revoked
- Transactions may be frozen or reversed where applicable
- Settlements may be delayed or withheld (per MSA)
- Investigations may continue post-termination
- Financial obligations remain enforceable under the MSA
13. Reporting Obligations
QorePay may report suspected violations to:
- Central Bank of Nigeria (CBN)
- Nigerian Financial Intelligence Unit (NFIU)
- EFCC and law enforcement agencies
- Payment schemes (Visa, Mastercard, etc.)
- Acquiring banks and financial partners
Such disclosures may occur without prior notice.
14. Updates to This Policy
QorePay may update this AUP at any time. Continued use of services constitutes acceptance of updated terms.
15. Entire Agreement Interaction
This AUP forms part of the QorePay contractual framework alongside:
- Terms of Use
- Merchant Services Agreement (where applicable)
- Privacy Policy
- Risk & Compliance requirements
16. Governing Law
This AUP is governed by the laws of the Federal Republic of Nigeria.
